So my game Batpenguin was inspired from Batman and it has no character names no city names (posam city).
Doesn't count as begin a fan game?

You really need to read up on what copyright infringment is.

To me, it looks like your game is a parody at best, but I'd have to see more of the game to know.
But, I don't think you have to worry as long as you don't plan on making money. (As far as BYOND's staff are concerned.) | |

Looks alright to me. It definitely appears to be a parody, so it should fall under fair use. The only situation in which it wouldn't be okay is if you attempted to profit off of it.
